Patria proposes reorganization that could lead to liquidation of three funds
Operation envisions migrating investors to a single real estate credit fund after asset sales

A proposal presented to shareholders foresees the reorganization of four real estate credit funds, which could result in the liquidation of three of them and the migration of investors to a single vehicle. The move comes as the market watches the fluctuation of Brazil’s main stock indices.
How the fund reorganization will work
The operation envisions that Pátria Crédito Imobiliário Índice de Preços will consolidate the assets of RBR Premium Recebíveis Imobiliários, RBR Rendimento High Grade, and Vectis Juros Real. If approved, the three funds will sell their assets and subsequently be liquidated.
Investors of those three funds will receive shares of the centralizing vehicle and any cash resources proportionally to their holdings. The first step is a public offer of shares at book value to raise the necessary funds to purchase all assets.
Shareholder approval and conflict of interest
The proposal’s implementation depends on extraordinary general meetings conducted remotely. Shareholders will vote on the full sale of the portfolios and the subsequent dissolution and liquidation of the involved funds.
Voting is also required for investors in the main fund to approve the acquisition of the assets. This measure is required due to a potential conflict of interest, as the involved funds are managed or run by companies linked to Pátria.
Objectives and benefits highlighted by the manager
According to the manager, the proposal aims to bring together portfolios with similar strategies in a single vehicle. Benefits cited include greater portfolio diversification, increased liquidity of shares in the secondary market, and the possibility of enhancing value generation for investors.
Movement in the real estate fund index
While the reorganization is debated, the industry’s main index on the Brazilian stock exchange has risen again after a prior decline. The indicator closed the session at 3,682.16 points, accumulating negative changes both month‑to‑month and year‑to‑date.
